TERMS OF REGISTRATION WOODBYWY.COM SALES AND DISTRIBUTION LISTING “WYFINDER”
This portion of the woodbywy.com website permits distributors and retailers (“Retailer”) of Weyerhaeuser products to register their contact information for inclusion on the woodbywy.com website. This Terms of Registration (“Contract”) governs the relationship between Weyerhaeuser and a Retailer wishing to be included on the woodbywy.com website.
Effective Date. This Contract is effective as of the date that Weyerhaeuser accepts Retailer’s submission of its contact information to be included on the woodbywy.com website.
Permission to Use Name and Contact Information. By submitting its information to the woodbywy.com website, which may include, but is not limited to, name, address, telephone, website, and/or logo (“Contact Information”), Retailer grants Weyerhaeuser and its contractors and affiliates, permission to use Retailer’s Contact Information on the woodbywy.com website and any other compilation of Weyerhaeuser retailers and distributors.
Representations and Warranties; Indemnity. Retailer represents, warrants and covenants that it is a current retailer or distributor of Weyerhaeuser products; (ii) that the person submitting Contact Information for Retailer is authorized to do so; and (iii) that posting Contact Information on the woodbywy.com website will not cause it to breach any third party agreements or infringe on any third party intellectual property rights, including but not limited to trademarks, copyrights, trade secrets or patents. Retailer will indemnify and hold harmless Weyerhaeuser and its contractors and affiliates for any breach of the preceding representations, warranties or covenants
Disclosure of Non-Weyerhaeuser Brands. If Retailer sells products other than Weyerhaeuser products, it will disclose to potential customers that it sells various brands of products, which may not be provided by Weyerhaeuser.
Removal of Contact Information. If Retailer ceases retailing or distributing Weyerhaeuser products, it will remove its name from the woodbywy.com website by contacting Weyerhaeuser at wood@weyerhaeuser.com and specifying what contact information to remove.
Records Maintained. Weyerhaeuser Company and their contractors or affiliates will maintain the Contact Information that Retailer submits to it. Weyerhaeuser currently contracts with a third party contractor to provide records maintenance services, but may not in the future. Should Retailer request that Weyerhaeuser remove its Contact Information from woodbywy.com and its related website records, Weyerhaeuser will do so; provided, however, that Retailer understands that Weyerhaeuser will not remove all of the Contact Information from all Weyerhaeuser records (to do so would make it impossible for Weyerhaeuser to continue supplying products and services to Retailer).
Acknowledgement of No Expectation of Privacy; Security of Transactions. Customer acknowledges that the information it provides in the registration form for the Contact Information is public and will be published on the internet and potentially in other mediums. Customer acknowledges that it has no expectation of privacy with respect to the Contact Information. Weyerhaeuser makes no effort to secure the electronic transmission of the Contact Information. Retailer acknowledges that conducting business on the internet may pose certain security risks, known and unknown, that are beyond the control of Weyerhaeuser.
Warranty Disclaimer. Weyerhaeuser Company does not represent or warrant that the functions contained on this website page will be uninterrupted or error-free, that the defects will be corrected, or that this website page or the server that makes the site available are free of viruses or other harmful components. Further, Weyerhaeuser Company does not make any warranties or representations regarding the use of the materials in website page in terms of its correctness, accuracy, adequacy, usefulness, timeliness, reliability or otherwise.
